Terms of Service

These terms are the agreement between you and Bailey Heritage Holdings, LLC. ("NextPour," "we," "us"), a Texas limited liability company, covering your use of the NextPour service at nextpour.app.
By creating an account, you agree to these terms. If you don't agree, don't use the service.

1. Who can use NextPour
You must be at least 21 years old to use NextPour. The service is about wine, and we don't want to be the exception to anyone's local drinking age.
You're responsible for keeping your account credentials secure and for everything that happens under your account.
2. What NextPour is — and isn't
NextPour is a cellar management tool. It helps you catalog what you own, find it on your rack, understand where it comes from, and decide what to open.
NextPour does not sell wine. We are not a retailer, a marketplace, an auction house, or a broker. We hold no alcohol licenses and take no part in any wine transaction. Nothing in the service is an offer to sell alcohol.
NextPour is not a valuation or appraisal service. We do not provide market prices, and nothing in the service should be treated as investment advice.
3. Subscription, free trial, and automatic renewal
NextPour is a paid subscription service.
Your free trial. New accounts begin with a 30-day free trial. You will be asked for a payment method to begin the trial.
Your trial converts automatically. At the end of the 30-day trial, unless you cancel first, your subscription begins and the payment method you provided will be charged $99 per year, or $12 per month, depending on the plan you chose. Your subscription will then renew automatically at that price each month until you cancel.
We'll remind you. We will email you before your trial converts to a paid subscription.
Cancelling. You may cancel at any time — including during the trial — from the billing page in your account. Cancelling is as simple as signing up, and takes effect immediately for future charges. If you cancel during the trial, you will not be charged. If you cancel a paid subscription, you keep access through the end of the period you've already paid for.
Price changes. If we change our prices, we will give you at least 30 days' notice by email before the change applies to you, and you may cancel before it takes effect. If you subscribed early, we may grandfather your price — where we do, we'll say so.
4. Refunds
If NextPour isn't right for you, email us within 30 days of a charge and we'll refund it. No questions, no forms, no retention gauntlet.
Beyond 30 days, fees are non-refundable, though you can cancel at any time to stop future charges.
5. Guidance, not guarantees
NextPour provides drinking-window estimates, wine descriptions, tasting notes, and recommendations. Some of this content is generated by artificial intelligence, and some draws on general information about wine, vintages, producers, and storage. All of it is offered for informational purposes only.
Wine is variable. Bottles differ from one another. Storage histories differ. Even experts disagree about when a wine is at its best, and they are frequently wrong.
We make no warranty that any estimate, note, map, or recommendation is accurate, complete, or suitable for any particular bottle. AI-generated content may contain errors. You are responsible for your own decisions about when to open, hold, buy, or sell any wine.
6. Your data is yours
You retain all rights to the content you put into NextPour — your cellar, your notes, your wishlist.
You grant us a limited licence to store, process, display, and transmit that content solely for the purpose of operating the service for you (including sending wine details to our AI provider to generate notes, as described in our Privacy Policy). We claim no ownership of it and will not use it for any other purpose.
7. Acceptable use
Don't:
- Share your account with people who aren't in your household
- Attempt to access other users' data, or probe, scan, or test the security of the service without our written permission
- Scrape, resell, or redistribute the service or its content
- Use the service to store anything unlawful
- Interfere with the operation of the service, or place unreasonable load on it (including automated querying of the AI features)
We may suspend or terminate accounts that violate these terms.
8. Our content and intellectual property
The NextPour service — its software, design, maps, and written content — belongs to us and is protected by intellectual property law. Your subscription grants you a personal, non-transferable right to use the service. It doesn't transfer ownership of anything.
Map data is provided by third parties and is subject to their terms.
9. Availability
We work hard to keep NextPour running, but we don't guarantee uninterrupted availability. We may modify, suspend, or discontinue features. If we ever discontinue the service entirely, we will give you reasonable notice and the ability to export your data first.
The service is provided "as is," without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.
10. Limitation of liability
To the fullest extent permitted by law, NextPour is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss in wine value, spoilage, missed drinking window, purchase or sale decision, lost profits, or lost data arising from your use of or reliance on the service.
Our total liability to you for any claim relating to the service is limited to the amount you paid us in the twelve months preceding the claim.
Some jurisdictions don't allow certain limitations, in which case the above applies to the maximum extent permitted.
11. Termination
You may close your account at any time. We may suspend or terminate your account if you materially breach these terms, or if we discontinue the service. On termination you may export your data; after deletion, we cannot recover it.
12. Changes to these terms
We may update these terms. If changes are material, we'll notify account holders by email and update the date above. Continued use after a change means you accept the updated terms.
13. Governing law
These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Harris County, Texas, and you and we consent to their jurisdiction.
If you are a consumer resident in the EU or UK, nothing in these terms deprives you of the protection of mandatory consumer law in your country of residence.
14. Miscellaneous
If any provision of these terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision isn't a waiver of it. These terms, together with the Privacy Policy, are the entire agreement between us.
